Mwana Africa (LON:MWA) chairman Stuart Morris and director Johan Botha are leaving as directors with immediate effect, the firm said in a London statement.
Previously, a group had requisitioned a general meeting for June 9 this year calling for four Mwana non-executive directors to be removed and replaced with four new ones.
The group of dissidents proposed that that Dr Scott Morrison, Mark Wellesley-Wood, Olivier Barbeau and Anne-Marie Chidzero be appointed as directors, while Stuart Morris, Johan Botha, Ngoni Kudenga and Herbert Mashanyare be removed.
Meanwhile, major Chinese shareholder CIMGC and Mr Yat Hoi Ning, a non-executive director and associate of CIMGC, have also today agreed to withdraw from the court petition over Morris and Botha.
The case challenged the re-election of Stuart Morris as director last year along with the appointments of Ngoni Kudenga and Herbert Mashanyare.
The current company board are now discussing a succession plan for additional non-exec directors, including the chairman, Mwana added in the statement.
