The Company’s main focus is exploring and developing the Atlanta Gold Mine Project, located in Lincoln County, Nevada. Project Overview
The Atlanta Gold Project, located in Lincoln Country, Nevada, produced 110,000 oz. gold and 800,000 oz. silver as an open pit mine in operation from 1975 - 1985. The Project continues to benefit from historical infrastructure - power, water and roads - all of which remains in place. Meadow Bay Gold has successfully completed an initial 2011 drill program at the Atlanta Gold Project that included a gold porphyry mineralized hosted discovery as well as confirming and expanding previous exploration by Kinross Gold. In July 2012, the Company released a mineral resource estimate of 375,869 indicated and 166,141 inferred gold oz. and significant silver credit based on the 2011 confirmatory drill program of holes previously drilled by Kinross. The Company expects to release an updated NI 43-101 in early 2013 based on the entire 2011 drill program of 39 holes. Meadow Bay intends to continue to explore and to develop the Atlanta Gold Project and move the project toward a production decision.
History
Gold was initially discovered in the Atlanta Mining District in the 1860s. For the next 100 years intermittent exploration slowly advanced the project. Two shafts were sunk on the main deposit but production prior to 1970 was small because visible gold is not present at Atlanta and the technology for extracting gold from the siliceous rocks was not widely available.
In 1970 Rutherford Day acquired the property and formed Bobcat Properties. Bobcat purchased a small existing mill from northern Nevada and reconstructed it on the site. Bobcat entered into a joint venture with Standard Slag and put Atlanta into production from 1975 to 1985. During the ten years of production, the 800 ton/day mill produced 110,000 ounces of gold and 800,000 ounces of silver from 1.5 million tons of ore. The project was shut down in mid-1985 due to low gold prices.
Bobcat Properties entered into exploration leases on two occasions during the intervening years. Gold Fields Resources optioned the project from 1990 to 1991. They conducted geochemical sampling, geophysics and drilled 82 core and reverse circulation (RC) holes. Subsequently, Kinross Gold optioned the project from 1997 to 1998. They drilled 80 RC holes and conducted the first modern resource estimate although it predates NI 43-101 standards and is not compliant. Both companies returned the project to Bobcat Properties at a time of low gold prices when the Atlanta Project failed to meet their corporate investment criteria.
Desert Hawk Resources entered into a purchase agreement with Bobcat Properties late in 2010. Meadow Bay Gold became party to this purchase agreement when it acquired Desert Hawk Resources early in 2011. The purchase agreement was finalized on March 3rd of 2011.
Current Exploration - Exploration Drill Program
Meadow Bay Gold recently commenced its 2012-13 drill program.
The goal of the 2012-13 exploration drill program is to continue to define and expand the current Atlanta Gold Project fault system and the newly discovered gold porphyry system as both systems remain open to the north and at depth.
The Company is also in the process of permitting drilling the Western Knolls, which represents a significant untested target of gold discovery. (See Western Knolls details below)

Reconnaissance Exploration - Western Knolls
The Atlanta District was evaluated both by literature research as well as prospected by senior Meadow Bay geologists. Several areas have been identified where follow-up investigations have yielded positive results. The most important of these is the Western Knolls where initial sampling identified silicified rhyolite breccias over a broad area that contained gold. Extensive grid soil sampling has been completed as has rock-chip sampling of favorable lithologies. Both the soil and rock-chip sampling has identified specific areas where gold and pathfinder elements are present in geochemically anomalous concentrations. The Quantec IP Geophysical survey has identified 6 large chargeability anomalies that are comparable to those observed at the Atlanta porphyry-hosted gold discovery. Some of these lie just below the surface.

Alexander Khutorsky - CEO - Director
Alexander Khutorsky, formerly of Dahlman Rose & Co., LLC, a New York-based investment bank focused on the metals and mining sectors. Mr. Khutorsky has over 14 years of experience as an investment banker. He was most recently with Dahlman Rose, where for three years he was Managing Director and head of the firm’s advisory effort and in which capacity he worked closely with Meadow Bay Gold. Prior to joining Dahlman Rose, Mr. Khutorsky was a Managing Director at Banc of America Securities LLC and Bear, Stearns & Co. Inc. focusing on mergers and acquisitions across a range of industries. He began his professional career as an Associate at the corporate law firm of Sullivan & Cromwell. Mr. Khutorsky holds AB, JD and MBA degrees from Columbia University.
Dr. Douglas Oliver - Project Manager
Douglas H. Oliver is a career geologist with 30 years experience in mineral exploration. He is president and founder of OliverGeoservices, which specializes in exploration management, economic evaluations and independent reviews. He received his Bachelor’s degree in Geology from Rutgers University and has an MBA from the University of Texas at Austin and a PhD in Tectonics from Southern Methodist University. Doug is responsible for implementing the exploration program at the Atlanta Mine.
Alastair Summers - Senior Mining Engineer
Alastair Summers, P.Eng, will be responsible for bringing the Atlanta Mine back into production. Mr. Summers is a Professional Engineer and a Professional Geologist and graduated from the University of British Columbia with a Bachelor of Science (Mining Engineering) in 1961. Mr. Summers was Vice President and General Manager of Hecla Mining Company’s operations in Mexico and Venezuela. He was personally responsible for building mines for Hecla including La Choya and San Sebatian in Mexico. Al Summers also prepared the feasibility study for the Stillwater Platinum-Palladium mine. Mr. Summers worked for Paramount Gold and Silver Corp. at its San Miguel Project in Mexico from 2007 to 2009.
Keith Margetson - CFO
Mr. Margetson is a chartered accountant and has been in public accounting for over three decades. He is a member of the British Columbia Institute of Chartered Accountants and a member of the Illinois CPA Society.
Tom Kennedy - Corporate Secretary
Mr. Kennedy graduated from the University of British Columbia having received his Bachelor of Commerce & Business Administration degree in 1973 and his Juris Doctor degree in 1974. Mr. Kennedy was admitted to the British Columbia Bar in 1975 and has practiced law for 36 years. After 7 years of employment with the Canadian Federal Department of Justice, Mr. Kennedy has primarily focused as a legal, financial and business consultant to publicly-traded companies. Mr. Kennedy is currently a member of the Law Society of British Columbia, the Canadian Bar Association and the British Columbia Bar Association, and an Associate member of the American Bar Association. Mr. Kennedy currently serves in positions as CEO, CFO, President, Vice-President and Secretary of several TSX Venture Exchange and CNSX publicly traded companies, primarily focused on mineral exploration.

Robert G. Dinning, is a Chartered Accountant, and a lifetime member of The Alberta Institute of Chartered Accountants having qualified with the firm of Peat Marwick Mitchell & Co, now known as KPMG. Mr. Dinning was employed for 5 years in the Investment industry through a subsidiary of a major Canadian Bank and subsequently became Chief Financial Officer of a large public broadcasting company which he held for 6 years. Mr. Dinning amongst other accomplishments, is also the Chairman of Paramount Gold and Silver Corp and CFO of ATAC Resources Ltd.

Mr. Estra has been a leading research analyst and global metals/mining team leader for a number of major investment banks, including SG Warburg (now UBS), Merrill Lynch, BT Alex Brown (now Deutsche Bank) and Oppenheimer. He began his career in the mining industry, at AMAX Inc., a global natural resources leader with interests in precious metals, copper, lead, zinc, coal, oil & gas, molybdenum, tungsten and iron ore. At AMAX Mr. Estra held a number of positions in Finance, Marketing and Strategic Business Development.
Charles (Bill) Reed - Director
Mr. Reed is a professional geologist and was most recently Vice President of Exploration and co-founder of Paramount Gold and Silver Corp. (NYSE/TSX:PZG) and credited with the multi million ounce gold-silver discovery known as San Miguel in Chihuahua, Mexico. Mr. Reed was also Chief Geologist (Mexico) for Hecla Mining Company (NYSE:HL) and prior thereto was Regional Geologist for Echo Bay. Bill received his Bachelor of Science degree from the University of Utah in 1969 and is a Registered Professional Geologist in the State of Utah. Bill currently resides in Arizona and Utah and will be responsible for conducting exploration programs on all the Desert Hawk Gold properties including the Atlanta Mine.
Adrian Robertson, P.Eng - Director
Mr. Robertson is a professional engineer with life of mine experience ranging from exploration and financing through production and reclamation. Mr. Robertson’s previous work experience includes positions with Vale (formerly Inco Ltd), Teck, Golder Associates and TVX Corp. In addition to his responsibilities with Meadow Bay Gold Corp, Mr. Robertson is also a consultant and corporate pilot working with several Vancouver based junior mining companies. Mr. Robertson is also a director of Urastar Gold Corp and is President and CEO of Silver Pursuit Resources.
