The North American Marijuana Index, which tracks the top cannabis stocks in the US and Canada, sank 3.2% to hit 209.3 points. Elsewhere, the Horizons Marijuana Life Sciences Index ETF was also down, losing 0.8% to C$16.54. The OTCQX Cannabis Index shed 3.5% to 686.5 points.

Buds

ICC International Cannabis Corp (CSE:WRLD.U) was a standout on Tuesday after announcing a cannabinoid pharmaceutical advisory agreement with Pfizer, Bristol-Myers Squibb, and Biogen advisor and cannabinoid expert Dr. Alexandros Makriyannis.

The company is poised to develop, alongside some very big names in the drugs world, the first cannabinoid biosynthesis platform to mass produce cannabis compounds in a cheaper way than conventional growing and extraction processes.

Investors sent ICC shares soaring 19.1% higher at US$0.13 at the midway point of Tuesday’s trading.

Elsewhere, shares of The Flowr Corporation (CVE:FLWR) continued to rise on the back of its Monday announcement that it is planning to raise C$43.5 million to fund the acquisition of global cannabis company Holigen Holdings.

Flowr currently owns 19.8% of Holigen and is seeing to acquire 100% ownership.

Shares of Flowr were up 2.5% in Toronto at C$4.10.

WeedMD Inc (CVE:WMD) also saw its shares nudge higher in morning trading after announcing it has launched CX Industries Inc, a wholly owned subsidiary that will specialize in extraction, toll processing and third-party product formulation.

In a statement, the company said CX Industries will have the capacity to process more than 200,000 kilograms of biomass at its peak production in 2020 from WeedMD’s facility in Aylmer, Ontario.

Duds

Market watchers were shocked on Tuesday to learn that marijuana giant Curaleaf Holdings Inc (CSE:CURA) was cautioned by the US Food and Drug Administration for allegedly illegally selling unapproved products containing CBD online with unsubstantiated claims that the products treat cancer.

Shares of Curaleaf plummeted 8.5% by midday Tuesday at C$9.60.

The FDA requested a response from Curaleaf within 15 days to correct the violations or else face legal action, including seizure and injunction.

Also down on Tuesday was TerrAscend Corp (CSE:TER), which lost 5.8% at C$6.04 after its partner PharmHouse secured a cannabis cultivation license on Monday.

The firm, together with Biotti Technologies, has struck what's called a cannabinoid pharmaceutical advisory agreement with Pfizer, Bristol-Myers Squibb, and Biogen advisor and cannabinoid expert Dr. Alexandros Makriyannis.

International Cannabis has a strategic investment in Boston, Massachusetts-based Biotii,  which is a private biotech.

By 2020, ICC said it and Biotii plan to have established a process to efficiently mass-produce CBD/THC in quantities of hundreds of metric tonnes per year, which boast stable and consistent yields, pharmaceutical-grade purities, and the lowest production costs in the industry.

Traditional cultivation of cannabis plants to extract cannabidiolic acid (CBDA), THC and CBD is time, labor and resource intensive that can result in depressed extraction yields of around 2.5%, noted ICC.

"Developing a scaled cannabinoid biosynthesis platform requires comprehensive knowledge of precise biochemical processes within the human metabolism of cannabinoids," said David Shpilt, ICC's chief executive.

"With Dr. Makriyannis’ guidance, ICC and Biotii are better equipped than ever to produce the absolute highest quality of cannabinoids, far exceeding industry standards, within the cannabis, food, and pharmaceutical verticals," he added.

Shpilt noted that Makriyannis’ experience of advising food conglomerates, such as Nestlé S.A was closely aligned with upcoming amendments to Health Canada regulations, including the recently announced schedule to legalize cannabis edibles in  the fourth quarter of 2019 or the first quarter of 2020.

Dr. Makriyannis’ previous advisory clientele includes such giants as Pfizer, Bristol Myers, Nestle and Glaxo Wellcome.

Championing a long-term focus

"As the scientific community’s global understanding of the human endocannabinoid system expands and social acceptance of cannabis increases, it is truly exciting to join Biotii and ICC in their pursuit of radical advancements within the biosynthesis of cannabinoids," Dr. Makriyannis commented.

It's been a busy period for ICC. Last week, the group revealed it had inked an exclusive supply and commercial rights agreement with medical cannabis company NUBU Pharmaceuticals in New Zealand.

Under the terms, the Vancouver-based cannabis company will supply NUBU with a suite of full-spectrum pharmaceutical grade medical cannabis products.

• Packaged and labelled medical cannabis including oil/tincture and capsules in finished goods form

• ICC branded, co-branded and/or ICC labelled medical cannabis products under development including but not limited to cannabis oil, capsules, transdermal patches, oral sprays, inhalers and vaporizing cartridges

• Hemp derived CBD adhering to the international standard of less than 0.3% THC, in both bulk form - which includes CBD isolate, CBD distillate - full spectrum oil and finished goods

The company said it will leverage its European GMP-certified processing facilities and extraction ready inventories to maximize margins and profitability, while servicing New Zealand’s high value patient population.

A match made in heaven

“ICC’s exclusive supply and commercial rights agreement with NUBU successfully catapults the company into yet another high-value medical cannabis jurisdiction,” said International Cannabis CEO David Shpilt in a statement.

Shpilt noted that "the marriage” of the company’s product formulation capabilities and extensive CPG/branded product market entrance experience, coupled with NUBU’s CBD/THC distribution infrastructure would drive brand loyalty, while addressing medical conditions within the Asia-Pacific theatre.

Founded in 2017, NUBU Pharmaceuticals is a first mover within New Zealand’s high-value medical cannabis industry. Earlier this year, NUBU received a license to deal in controlled drugs by New Zealand’s Ministry of Health, as well as a license to sell medicines wholesale, which will allow the company to import and distribute ICC manufactured THC/CBD products ahead of other local market participants.

In collaboration with NUBU, the company is also in discussions about the distribution of a number premium medicinal and wellness products from New Zealand to export markets internationally. Shpilt said ICC now has supply, distribution and commercial rights agreements with a host of high-profile cannabis operators across a variety of regions primed for exponential growth such as India, Germany, New Zealand and Colombia.

Separately, the company also said it has issued 318,757 shares to JYT Partners Limited for services rendered. The shares are being issued as a shares for services transaction.

ICC is developing cultivation platforms for extraction, formulation and distribution of cannabis and has operating assets in the UK, Europe, Australia, South America and Africa.

The 150,000-square foot facility located in Møldrup, Denmark will be used for cannabis cultivation, processing and manufacturing.

Investors sent ICC's shares up 2.8% on Tuesday morning in Canada at US$0.18, and 8.4% higher on OTC markets to US$0.19.

The study revealed that, once fully operational, the facility will have the capacity to produce around 20 million grams of premium dried cannabis flower to sell to medicinal markets.

In a note to investors, Vancouver-based ICC said it is also planning on pursuing outdoor cultivation opportunities on the land package’s 45 acres, where preliminary soil sampling indicated ideal conditions for outdoor grow.

Once the outdoor agricultural program is implemented, ICC said it is forecasted to yield 81,000 kilograms of dried cannabis in the 2020 harvest season from its crops.

“Through highly coveted and stabilized genetics, state of the art building control systems to achieve pharmaceutical standardization of medical cannabis, and a proprietary quality management system, ICC’s Danish production facility will yield the finest cannabis products to meet the demands of educated, sophisticated and quality-driven consumers,” said David Shplit, CEO of ICC.

The facility will enable the distribution of high-margin products into high-value European patient populations with drastically shorter lead times, according to Shplit.

The building will be constructed in independent purpose-built blocks to support the expansion of capacity and new functions while maintaining full operational capabilities. In the cultivation block, the unit will include 56,250 square feet of net flower canopy capable of producing around 350 grams of dried cannabis from five annual harvests.

Another 55,000 square feet will be dedicated to post-harvest production, including over 20,000 square feet of processing infrastructure.

ICC is currently running capacity simulations scenarios to help refine cost estimations while maintaining optimal production.

Shplit said the company is looking for non-dilutive, project level debt financing for the new facility.

“We have worked tirelessly to provide potential institutional partners with de-risked opportunities, such as the Danish Facility to satisfy their requirements,” he said. “We are normalizing cannabis cultivation project financing by first demonstrating the depth and sophistication of our operational capabilities.”

The company said it will pay C$230,000 to acquire Grupo Pharma Colombiano Inc’s pharmacy as well as issue 15 million common shares to Grupo Pharma’s shareholders.

Grupo Pharma controls 75% of the pharmacy operation that sells both THC and CBD products. It is located in the “El Poblado” area of Medellin, and will help the Canadian company strengthen its footprint in Colombia’s burgeoning medical cannabis industry, according to a statement.

“The astute acquisition of Grupo Pharma furthers our mandate in bolstering distribution touch-points, as well as solidifying early mover advantages in burgeoning cannabis locales, such as Colombia,” said CEO David Shpilt. “According to a report by New Frontier Data, the total addressable Latin American cannabis market represents approximately US$9.8 billion and accounts for 600 million people, further validating Colombian’s high-profile market opportunity.”

Last month, ICC inked a pact to acquire AgraFlora Organics International Inc’s (CSE:AGRA) (OTC: PUFXF) Colombian pharmacy operation, Farma Swiss SAS, for $250,000 in stock.

ICC also said Thursday it plans to acquire “eight additional locations” in Colombia by the end of fiscal 2019.

The Vancouver-based company also said it will beef up out-reach programs with Colombian doctors, corporations and universities.

ICC’s stock trades around US$0.20 on the OTC Markets and in Canada.

Buds

ICC International Cannabis Corp (CSE:WRLD.U) (OTCMKTS:WLDCF) shares soared on Thursday after it announced that it has entered into an agreement to acquire VendaPharm EU LLC, which controls the international rights to proprietary THC/CBD vending machines across Europe. 

Shares jumped up 15.6% at US$0.20 in New York, up 17.6% at C$0.20 in Toronto. 

The Canadian company plans to deploy the vending machines into its existing network of 80,000 high-traffic retail endpoints and pharmacies across Europe.

“More people than ever, including millennials, are choosing convenience stores as their primary source of produce,” said CEO David Shpilt. “ICC seeks to place vending machines in these high traffic locales, particularly chains or franchises along major thoroughfares.”

Other gainers Thursday included MedMen Enterprises Inc (CSE:MMEN) (OTCQX:MMNFF), which was up 6.6% at US$2.05 in New York after news that a group of investors dropped a lawsuit against the firm. The lawsuit argued CEO Adam Bierman and President Andrew Modlin made decisions in their own personal interest, rather than shareholders, and has been dismissed, according to a release from MedMen on Thursday.

"MedMen looks forward to the opportunity to expeditiously litigate the frivolous and unfounded claims against the company," it said in a statement, adding it intends to seek "substantial monetary and punitive damages."

Other gainers on Thursday included The Flowr Corporation (CVE:FLWR) (OTCMKTS:FLWPF), whose shares rose after it announced its application has been approved to have its common shares listed on the Nasdaq Capital Market.

Shares were up 1.1% at C$6.18 in Toronto, up 1% at US$4.61.

Duds

Shares of Aleafia Health Inc (TSE:ALEF) (OTCMKTS:ALEAF) were dropping Thursday, after it announced it will raise $35 million in a public offering. The firm will issue 35,000 convertible debenture units of the company at a price of $1,000 per unit. Each unit will consist of one 8.5% unsecured convertible debenture and 680 common share purchase warrants of the company, which will entitle the holder to purchase one common share in the capital of the company at a price of $1.55

Shares were down 8.2% at C$1.34 in Canadian trading, down 4.7% at US$1.01 in New York.

Other detractors Thursday included Golden Leaf Holdings Ltd (CSE:GLH) (OTCMKTS:GLDFF), which dropped 9.6% at C$0.07 in Toronto.

Earlier this week, the firm released news that it will hold a meeting for those who hold debentures issued by Golden Leaf in Nov 2017 at the end of June to consider and potentially approve "an extraordinary resolution to amend the indenture to increase the monetary threshold for permitted asset dispositions to better facilitate the disposition of unprofitable, unproductive, or strategically unnecessary assets," according to a statement released by the firm. 

The Canadian company has cultivation, production and retail operations in Canada as well as in Oregon and Nevada.

Tilray Inc (NASDAQ:TLRY) shares were also on the decline on Thursday, down 1.4% at US$35.10 on no news.

The Canadian company plans to deploy the vending machines into its existing network of 80,000 high-traffic retail endpoints and pharmacies across Europe.

The proprietary technology that runs the vending machines, or kiosks, is currently owned by VendaPharm EU LLC. Under a distribution and software licensing agreement, ICC said it will acquire 100% of VendaPharm’s outstanding shares.

ICC said the vending machines are equipped with facial-recognition software and camera, high-definition LED customer display, temperature-controlled storage, data aggregation and keyless entry, among other features. The kiosks also accept debit and credit cards as well as fiat currencies.

The Vancouver-based company said the machines will offer customers a suit of CBD products, including balms, roll-ons, healing sticks and vaporizers. Pet owners will be able to buy CBD gels and tinctures. Also, machines will carry hemp oil-derived cosmetics with anti-aging properties and cannabis-light pre-rolled cigarettes.

ICC also said it is aggressively developing a portfolio of cannabidiol-derived health and wellness products for automated distribution throughout Europe, under the Marilyn Monroe, Elvis Presley, Greg Norman, Tretorn, Aéropostale, Thaila and Frederick’s of Hollywood brands.

The company said it will leverage these widely recognized and trusted powerhouse brands that are already prominently featured on thousands of store shelves across Europe.

The vast majority of CBD, or cannabidiol, is extracted from hemp, which is a cannabis plant that has trace amounts of THC (0.3% or less when dried). THC, or tetrahydrocannabinol, is the psychoactive compound that gets people “high.”

ICC president resigns

In other company news, ICC said that Michael Martinz has resigned as president and board director and Peter Nguyen, who currently acts in the capacity of CFO, will join the board.

ICC's stock recently increase 15% to $0.20 a share on the OTC Markets and was up 14.7% to $0.19 a share on the Canadian Securities Exchange.

On May 23, South Africa's Department of Health officially removed Cannabidiol (CBD) from the country's Schedule 7 list of highly controlled drugs, which allows for the legal distribution of CBD products.

"This is a landmark piece of legislation that will empower the South African populous with wide-scale access to a vast array of CBD products," said David Shpilt, CEO of International Cannabis. South Africa  boasts a population of 55 million and has made actionable progress pertaining to the integration of medical cannabis and CBD into its healthcare infrastructure."

Shplit said ICC will leverage patented Vesisorb formulations to exploit the country’s bourgeoning CBD market.

Premium products

"Widely considered a pioneer within the African cannabis sector, International Cannabis will imminently be in a position to share our progress relating to the supply of premium CBD products from local and international sources, including our African low-cost cannabis production hub in the Kingdom of Lesotho," said the company boss.

ICC has medical cannabis operations in the Kingdom of Lesotho, including licenses for cultivation, manufacturing and distribution and importing and exporting.

International Cannabis already has a strategic investment in Boston, Massachusetts-based Biotii, a top private biotechnology company.

The new Bioworks Foundry will function as a staging ground for Biotii’s cannabinoid researchers and organism designers to manufacture and analyze prototype enzyme pathways, said the company in a statement.

The planned facility will give International Cannabis and Biotii the opportunity to scale synthesized cannabinoid testing processes rapidly and cost-effectively by using:

Advanced DNA assembly protocols Laboratory automation High performance analytics

The completion of the Bioworks Foundry will catapult Biotii into an elite clutch of less than 20 labs worldwide that are equipped with the ability to automate genome assembly of multiple DNA fragments.

Opentrons robots for biologists 

Opentrons, which makes robots for biologists, will supply the foundry with its flagship OT-2 Robot to give Biotii access to a proven molecular biology platform, furnished with hundreds of existing protocols and over 5,400 software commits from a diverse community of researchers, including teams from Stanford University and the Mayo Clinic.

With International Cannabis’ financial backing and Opentrons’ advanced engineering frameworks going into the planned Bioworks Foundry, the Biotii team hopes to deliver on its 2020 mandate to produce cannabinoid in hundreds of metric tonnes per annum boasting:

The company said Biotii's scalable synthesizing processes will enable the manufacture of “a wide range of cannabinoids,” including tetrahydrocannabinol (THC) and cannabidiol (CBD) inexpensively compared to conventional cultivation and extraction processes.

Making revolutionary products

“Within the sphere of biological engineering living organisms are the foundational factories by which revolutionary products are devised,” said ICC International Cannabis CEO David Shpilt. “Designing preeminent synthetic cannabinoids requires a different category of factory, one where best-in-class tools in automation, analytics, and software can all function in symbiotic fashion.”

Shpilt said the automated Bioworks Foundry will permit “efficient scaling of organism design,” thereby allowing engineers to expedite the prototyping of thousands of unique biological designs.

“Opentrons presents a flexible platform and supports a growing community of users, providing ICC and Biotti with access to continuously expanding set of modules, protocol, and capabilities,” said Shpilt.  

Opentrons OT-2 Robot enables the execution of complex, repetitive task-loads that cannot be replicated by traditional human lab staff.

“The OT-2, for example, can run four times as many experiments in the same sized plate, and efficiently dispense liquids with precision in much less time,” said Shpilt.

Accelerating cannabinoid R&D

The Bioworks Foundry will accelerate cannabinoid R&D, allowing the companies to capture significant IP within the fast-developing biosynthesis market for cannabinoids.

“With Opentrons, we are ready to start building our revolutionary Bioworks Foundry. We have the flexibility to develop whatever automated processes we want, even, and especially, if the manufacturer hasn't thought of it yet,” said Biotii’s co-founder and CEO Dr John Harrold. “This will give Biotii and ICC the advantage in developing not only our target products faster, but also the tools to produce subsequent targets more efficiently.”

Meanwhile, Will Canine, co-founder and CPO of Opentrons, a company that’s setting out to help life scientists automate many of their experiments using robotics, said he was happy to start a “relationship with Biotii and ICC.”

Through the all-stock deal, International Cannabis will get control over a coveted brick-and-mortar business in Latin America, as well as existing high-profile commercial agreements, further boosting the company’s cannabis cultivation capabilities and logistical infrastructure.

The addition of a premier downstream Colombian asset, the company said in a statement, secures a platform for the distribution of medical cannabis and cannabinoid-derived products within Colombia.

Farma Swiss operates a licensed pharmacy strategically situated within a high traffic, commercial neighbourhood of Medellin, Colombia. Farma Swiss’ fully licenced pharmacy operation is equipped with ancillary, value-added services which include:

 • An inbound prescription call centre, augmented by advanced supply chain and CRM software suites

 • A domestic delivery service, providing local clientele with an array of medical and over-the-counter products

 • Onsite health related services and consulting

 • Proposed cannabinoid education

 • Virtual channel capabilities

“The proposed acquisition of Farma Swiss represents yet another material development within the LATAM theatre for ICC,” said International Cannabis CEO David Shpilt in a statement.

Shpilt said the acquisition gave the Vancouver-based cannabis company the opportunity to leverage its “first mover advantage” within the Colombian medical cannabis market by servicing more than 5 million potential patients.

The acquisition will lead to the integration of Farma Swiss’ pharmacy platform with ICC’s 13-hectare cannabis centre of excellence and catalogue of native Colombian cannabis genetics.

“International Cannabis will continue to solidify its leadership position within Colombia’s highly competitive medical cannabis marketplace, while streamlining patients access to our unique formulations,” said Shpilt.

Transferring a library of 20 unique strains

Last month, AgraFlora transfered its portfolio of exotic, native Colombian cannabis genetics to International Cannabis for marketing and global distribution. As part of the deal, the company is transferring a library of 20 unique strains that include both prominent tetrahydrocannabinol (THC) and cannabidiol (CBD) varieties to International Cannabis. Some of the highly sought-after strains are Caucana, Purpura, Medellin Gold and Maroc.

“This strategic transaction further crystalizes our alliance with ICC with regards to our collaborative pursuit of the burgeoning global cannabis trade,” said AgraFlora Organics International CEO Brandon Boddy. “Monetizing of our flagship pharmacy operation to a trusted ally, permits us to streamline our international cannabis operations while focusing on the continued retrofit of our world class greenhouse complex in Delta, BC.”

International Cannabis said it is actively “investigating complementary pharmacy related assets” within Colombia that may serve as synergistic accompaniments to its acquisition of Farma Swiss. 

“We are excited to increase our shareholdings in ICC as they continue to execute upon their international business mandate and embark upon realizing material cash flows,” said Boddy.

ICC is developing cultivation platforms for extraction, formulation and distribution of cannabis and has operating assets in the UK, Europe, Australia, South America and Africa.

The Vancouver-based cannabis company obtained the licence for the Affinity Alpha Unit, which uses a two-phase process to enable the mass production of THC, CBD, CBG and terpene extracts at ten times the throughput of traditional extraction technologies.

Shares of ICC International Cannabis were up 5% on Monday, at C$0.21 on the Canadian Securities Exchange.

Developed by Atom Energy Inc and Sixth Wave Innovations Inc, International Cannabis is planning to integrate the Affinity Unit into its vertically-operated cannabis asset portfolio of 20 countries.

International Cannabis will also leverage the system to expedite post-harvest production of finished goods from its current extraction-ready CBD inventories in Germany, Switzerland, Serbia and Croatia.

“The integration of the Affinity Unit across ICC’s global operating units will optimize ICC’s multi-pronged CBD strategy, thereby maximizing rents while cornering high growth consumer segments,” said David Shpilt, CEO of International Cannabis in a statement.

The proprietary process will allow International Cannabis to bring its product formulations to market at a faster pace, further actualizing its first-mover reputation across the EU, according to Shplit.

"Access to the exclusive master license arms International Cannabis with the capability to monetize each and every deployment of the Affinity Unit across the EU.”

Agreement terms

International Cannabis has also been granted the first-in-line option to acquire the exclusive master licencing rights to the Affinity Unit, allowing the company a direct use licence within Europe, as well as the authority to sub-licence and collect a royalty from potential sublicenses on the continent. The company also has additional licence rights to India and Greece.

As part of the agreement, International Cannabis will pay C$3.5 million in common shares in the capital of the company upon the exercise of the right of first refusal option and concurrent master licencing agreement. It has also agreed to invest C$1.5 million in Atom at a price of $0.75 per share.

The North American Marijuana Index, which tracks the top cannabis stocks in the US and Canada, was up 1.9% to 272.05 points by Friday's close. The Horizons Marijuana Life Sciences Index ETF was down 0.8% at C$19.98.

Buds

Shares of Wayland Group Corp’s (CSE:WAYL) were on the rise Friday, as ICC International Cannabis Corp (CSE:WRLD.U) (OTCMKTS:WLDCF) announced it has closed its previously announced acquisition of 49.9% of Wayland’s international asset and license portfolio.

Shares of Wayland Group soared 6.2% at US$0.69 by Friday's close.

As part of the deal, Wayland will enter into a three-year supply agreement with ICC that will supply ICC with 10,000 kg annually of dried cannabis flower.

Namaste Technologies Inc (CVE:N) (OTCMKTS:NXTTF) shares were also on the rise Friday after the firm announced it has expanded its leadership team with the addition of Andy Wilczynski to the board and Andrew Buckman to the advisory board.

Toronto-based Namaste is also tapping technology futurist Faraaz Jamal as its new vice president of marketing and strategy.

Shares of Namaste were up 5% at C$0.84 in Canadian trading.

"We have added strength, oversight, experience, and vision to increase our capacity to achieve our corporate milestones and regain our focus on growth," said Interim CEO Meni Morim. "These three individuals each bring a wealth of history and operational excellence with proven results.”

Namaste also released news that Calgary-based Choklat Inc in which it acquired a 49% interest in March this year has submitted its license application for edibles manufacturing.

Choklat is the largest premium craft chocolate maker in Canada with existing sales through its e-commerce site and through a network of distributors across Canada.

The Flowr Corporation (CVE:FLWR) (OTCMKTS:FLWPF) shares were up after it announced its application has been approved to have its common shares listed on the Nasdaq Capital Market.

Shares were up 2.8% at C$7.29 in Toronto, up 4.7% at US$5.45.

The company noted in a release that its common shares will be listed on the Nasdaq under the symbol FLWR and the company's shares listed on the TSX Venture Exchange will continue to trade under the symbol FLWR.

Duds

A number of stocks were not feeling Friday-esque and lagged.

Tilray Inc (NASDAQ:TLRY) saw its shares drop 2% at US$43.88.

The firm recently announced that subsidiary Tilray Portugal received a standard manufacturing license and a Good Manufacturing Practices (GMP) certification for its Biocant Park manufacturing facility in Cantanhede, Portugal.

This license and certification means Tilray Portugal can manufacture and export GMP-certified dried cannabis as an active substance for medicinal products.

Other detractors Friday included Golden Leaf Holdings Ltd (CSE:GLH) (OTCMKTS:GLDFF), which dropped 4.8% at C$0.10 in Toronto.

The Canadian company has cultivation, production and retail operations in Canada as well as in Oregon and Nevada.

Shares of International Cannabis jumped 2.1% higher at C$0.24 in Canada and 4.8% higher at US$0.24 on OTC markets.

The cannabis company announced Wednesday that it is planning to purchase up to 100 million grams of flower from AgraFlora Organics International Inc (CSE:AGRA) over a five-year period. ICC will distribute the dried cannabis flower through its European distribution footprint of 80,000 pharmacies and 300,000 retail locations under the company’s various brands.

“ICC is pleased to formalize yet another material supply agreement; further crystalizing the Company’s access to a pipeline of premium dried cannabis flower,” said International Cannabis CEO David Shplit in a statement. “Agraflora and its JV partner are equipped with over 30 years of cultivation expertise, instilling us with on-going confidence to consistently deliver a safe supply of medicine for our high value patient populations.”

The offtake agreement is contingent upon AgraFlora’s receiving its cultivation and sales licences from Health Canada for its Delta Greenhouse Complex operations, a 2.2-million square foot indoor grow space.

International Cannabis’ geographic asset footprint, globally recognized production certification and planned finishing facility will provide the company with global trade route arbitrage advantages, according to Shplit.

European processing hub

Ahead of the first delivery of dried flower, International Cannabis is designing a GMP-compliant cannabis processing, manufacturing and packaging facility to function as a leading European cannabis processing hub for delivery to 16 countries that comprise ICC’s continental network.

“This offtake agreement is strategically structured to leverage existing market maturity, all while capitalizing on emerging market opportunities of today and tomorrow,” said Shplit. “With this agreement, ICC will leverage the anticipated throughput and low cost of production from the Delta Greenhouse Complex to realize a significant source of high-quality dried flower.”

Today, it emerged that Wayland's DEMECAN joint venture has been awarded three lots of domestic cannabis production in Germany by the Federal Institute for Drugs and Medical.

Devices after the withdrawal of a competitor’s complaint following an oral court hearing.

Wayland has a  50% stake in the venture with an option to increase that to 60%.

It means DEMECAN is one of just three companies globally to achieve a German cannabis license for domestic production, out of 79 applicants. It will now begin production within Wayland’s 820,000 square foot Ebersbach facility, following upgrades to quality and security systems.

As part of the deal announced last month, Wayland will also enter into a three-year supply agreement with ICC that will supply the latter with 10,000 kg annually of dried cannabis flower grown at Wayland’s Langton, Ontario production facility.

The transaction is expected to close in coming days.

Diversified portfolio of subsidiaries

ICC International Cannabis aims to be the first publicly listed, globally focused, pure cannabis play.

With a diversified portfolio of subsidiaries, the Vancouver-based company has cultivation, extraction, formulation and distribution assets in the UK, Denmark, Poland, Switzerland, Germany, Macedonia, Bulgaria, Greece, Italy, Portugal, Malta, Colombia, Argentina, Australia, South Africa and Lesotho.

The stock in Toronto added over 6.5% to $0.245. In the US, shares are up 1.6% to $0.25.

Tapping the CBD market

The new venture will help the companies tap the hyper-growth CBD market, which is poised to touch US$22 billion by 2022.

The deal leverages Toronto Wolfpack’s loyal fan base, Organic Flower’s domestic downstream capabilities coupled with International Cannabis Corp’s large European retail and pharmacy footprint.

"It is estimated that over 600 million Indians experience symptoms derived from indications which medical cannabis may treat, remedy or ultimately alleviate,” said International Cannabis CEO David Shplit in a statement.

International Cannabis, based in Vancouver, British Columbia, noted that Indus Cannabis has made several moves already to position itself to eventually bring cannabinoid-derived pharmaceutical compounds to the Indian marketplace.

The Canadian company noted that Indus Cannabis has entered into a three-year research and development partnership agreement with the Indian Institute of Integrative Medicine (IIIM), a premier national research institute under the Council of Scientific & Industrial Research of India (CSIR), that is dedicated to the discovery of pharmaceuticals derived from medicinal plants and microbial species.

IIIM and CSIR have mandated Indus Cannabis to lead efforts to detect cannabinoid-derived pharmaceutical compounds and bring them to market, International Cannabis said. Also, Indus Cannabis will work with Indian regulators to devise cannabis regulations centered on commercial production, import/export and distribution.

Indus Cannabis also anticipates it will win an Indian cannabis import/export license, which is expected to permit the export of certified medical cannabis to the European Union and the Asia Pacific region, International Cannabis said. Such a license will also enable the importation of select, high-value strains and tissue cultures from top European seed banks as well as Tier 1 Canadian licensed producers.

Once the Indian company gets the import/export license, International Cannabis said it will supply Indus Cannabis with up to 30 million grams of premium cannabis flower as well as bulk cannabis resin, bulk CBD isolate and bulk CBD distillate for research and development and eventual commercialization.

International Cannabis also said Indus Cannabis will build a factory to grown and package EU-compliant cannabis and that it has right-of-first-refusal to purchase a portion of Indus Cannabis’ cannabis production at cost plus 20% and will distribute the product in Europe. And once the license is granted, International Cannabis will have co-ownership of data derived from the company’s cannabinoid clinical trials and all cannabis product formulations developed by Indus Cannabis. And International Cannabis has been granted a call-option for further equity participation in IndusCann Private Ltd. for an additional US$4 million.

With a diversified portfolio of subsidiaries, International Cannabis has cultivation, extraction, formulation and distribution assets in the UK, Denmark, Poland, Switzerland, Germany, Macedonia, Bulgaria, Greece, Italy, Portugal, Malta, Colombia, Argentina, Australia, South Africa and Lesotho.

Shares of International Cannabis recently trade up 4.6% to US$0.27 on OTC markets.

ICC International Cannabis Corp (CSE:WRLD.U) (OTCMKTS:WLDCF) shares soared earlier on Wednesday after it announced that it has entered into an agreement with Organic Flower Investment Groups Inc to access distribution in the European market.

Shares jumped up 8.1% at US$0.28 in New York, up 3.8% at C$0.27 in Toronto. In the afternoon, shares were halted, pending news. 

International Cannabis will allow Organic Flower access to its European distribution network, which comprises 80,000 retail locations and pharmacies across the continent, and commercial rights for cannabis processing and finishing at ICC’s GMP-certified facilities.

Other gainers on Wednesday included Namaste Technologies Inc (CVE:N) (OTCMKTS:NXTTF), the cannabis e-commerce group, up 2.8% at C$0.74 in Toronto by Wednesday's close.  

The company hasn't released any news, however, it is currently undergoing an audit of its 2018 financial statements. 

True Leaf Medicine International Ltd (CSE:MJ) (OTCMKTS:TRLFF) shares were up 4.3% at C$0.49 in Toronto. The Vernon, BC-based cannabis and hemp wellness brand for pets announced earlier this week that it had appointed an executive from the world's largest pet food company to lead its pet division.

Kevin Cole, a former vice president of marketing at Mars Petcare, joins the cannabis for pets brand as president of True Leaf Pet.

Tilray Inc (NASDAQ:TLRY) shares were lagging on Wednesday, down 2.5% at US$46.05 after the company announced it was expanding its Canadian manufacturing and production footprint.

The firm announced it was spending US$32.6 milliong to increase the company’s Canadian cannabis production and manufacturing footprint by 203,000 square feet across three facilities: Leamington, Ontario, London, Ontario, and Nanaimo, British Columbia.

Aleafia Health Inc (TSE:ALEF) (OTCMKTS:ALEAF) shares dropped sharply after gains earlier this week. Shares were down 2.9% at C$1.66 in Toronto, off 3% at US$1.24 in New York.

Earlier this week the company announced it was entering the German medical cannabis market via its joint-venture with German pharmaceutical wholesaler Acnos Pharma GmbH.

Also on the decline was MedMen Enterprises Inc (CSE:MMEN) (OTCQX:MMNFF), which was down 3.1% at US$2.46 on no news.

Organic Flower will compensate International Cannabis through royalties based on net sales of the company’s products sold through International Cannabis's distribution channels.

International Cannabis has a significant distribution network throughout 16 countries in Europe. The company also offers procurement, warehousing, product registration and regulatory representations.

For Organic Flower, the deal allows the cannabis cultivator to leverage International Cannabis’s distribution network for its products, including dried cannabis flower, edibles and beverages and CBD-infused pain relief creams.

“International Cannabis’ deep-seated understanding of European import and export regulations, coupled with its robust distribution channels provides Organic Flower with a springboard to expedite the placement of its unique product portfolio on European shelves,” said Organic Flower CEO Joel Dumaresq in a statement.

“ICC’s down line distribution footprint is unmatched within the European THC and CBD operating theatre and will afford Organic Flower with first-rate exposure to the next wave of cannabis alpha returns.”

Through its subsidiaries, International Cannabis has operational assets around the world.

Lauren Magda is joining the Canadian cannabis holdings company as its chief of staff, and Jonathan Beland was named vice president of corporate development.

Magda moved to ICC from the Ontario Cannabis Store, where she served as director of wholesale operations and oversaw the launch of its e-commerce operations. Throughout her career she has lended her expertise in the sector to about 50 cannabis organizations.

Beland is coming off a stint at Tidal Royalty Corporation, where he worked as the vice president of corporate development. While there, he helped develop its asset portfolio before its eventual sale. Before that, he worked in sell-side investment banking at firms including Paradigm and BMO.

“Both Lauren and Jonathan bring phenomenal industry track records to International Cannabis,” CEO David Shpilt said in a statement.

“Coupled with the formal integration of Wayland’s highly experienced European operations team, which boasts upstream, downstream and full processing and manufacturing capabilities, Lauren and Jonathan will be paramount in continuing to establish highly effective, internationally synergized teams.”

The company also recently announced a new CEO, David Shpilt. 

On Tuesday, ICC reached a deal with Wayland, a Canada and Germany-based cannabis producer, to acquire a 49.9% stake in its international assets.

Vancouver-based ICC is developing cultivation platforms for cultivation, extraction, formulation and distribution for cannabis and has operating assets in the UK, Europe, Australia, South America and Africa.

Shares slipped nearly 9% to C$0.31 on the Canadian Securities Exchange and fell 7.1% to US$0.31 on the OTC markets.

As part of the transaction, Wayland will enter into a three-year supply agreement with ICC that will supply ICC with 10,000 kg annually of dried cannabis flower grown at Wayland’s Langton, Ontario production facility.

The cannabis will be distributed across medical cannabis markets in Europe and is expected to pay ICC more than eight euros per gram.

Under the deal, International Cannabis will issue Wayland 300 million shares in the capital of ICC.

Before the deal closes, Wayland’s international asset and license portfolio will be reorganized into Wayland International, a subsidiary, which will be jointly owned and operated by ICC and Wayland. As part of the terms, Wayland will keep the right to appoint the board of directors and management and Matthew McLeod, Wayland's general counsel, has been tapped as the subsidiary's president.

The two companies expect the deal will drive revenues higher as they look to take advantage of economies of scale to improve production, distribution and branding campaigns and enter new cannabis and CBD markets.

“This is a landmark acquisition for International Cannabis. ... Together, ICC and Wayland boast operations in 18 distinct geographies, all with a central function to supply high-quality cannabis to the global market,” said Davis Shpilt, CEO of ICC in a statement.

Ben Ward, CEO of Wayland, is just as bullish on the tie-up.

"The proposed transaction with ICC will help Wayland to execute on the vision and platform established over the past two-and-a-half years to bring medical cannabis to evolving global markets," Ward said in a statement.

The terms of the agreement are consistent with the letter of intent, which first laid out the deal’s terms and was released on January 15.

ICC International is developing an international platform for cannabis cultivation, extraction, formulation and distribution, with operations in the UK, Denmark, Poland, Switzerland, Germany, Macedonia, Bulgaria, Serbia, Croatia, Greece, Italy, Portugal, Malta, Colombia, Argentina, Australia, South Africa and Lesotho.

ICC International Cannabis shares closed up 7.8% to hit C$0.345 on Monday.

According to the terms of the agreement, AgraFlora will transfer its portfolio of exotic, native Colombian cannabis genetics to Vancouver-based International Cannabis for marketing and global distribution.

Investors sent ICC shares up more than 2% to US$.37 on the OTC Markets, while shares remained flat in Toronto Tuesday morning.

“This partnership further equips International Cannabis with the ability to provide highly coveted Colombian cannabis flower to its distribution global network of approximately 39,000 pharmacies and retail outlets,” said International Cannabis CEO Eugene Beukman. “The transfer of these native Colombian strains will also allow for the continued differentiation of the International Cannabis brand in an increasingly generic and homogenized market.”

In May 2018, Ontario-based AgraFlora formed a wholly-owned subsidiary, Pure Grow Medicinals SAS, to chase cannabis cultivation and genetics opportunities in Colombia. Pure Grow is working with a Cannabis Cup winner whose strain “Medellin Gold” has received tremendous industry accolades. They have since acquired a library of rare and exotic native cannabis seed varieties and their genetics portfolio now consists of rare cannabis strains from Valle del Cauca, Cauca, Magdalena and Antioquia in Colombia.

Transferring a library of 20 unique strains

As part of the deal, Pure Grow is transferring a library of 20 unique strains that include both prominent tetrahydrocannabinol (THC) and cannabidiol (CBD) varieties to International Cannabis. Some of the highly sought-after strains are Caucana, Purpura, Medellin Gold and Maroc. 

As the World Health Organization and countries around the world gradually shift their stance in favor of medical CBD-derived products and oils, the demand for high-yield CBD strains is expected to increase, said the company.

“Pure Grow has assembled a unique genetic library of cannabis native to Colombia which we believe is poised to become a valuable asset for our company,” said AgraFlora Organics International Inc CEO Derek Ivany. “With the aim of maximizing the value of our genetics portfolio, we have confidence in our new partnership with ICC as they have built an extensive infrastructure across the value chain in the international cannabis marketplace. Their vast international presence consists of distribution networks and various licenses in multiple jurisdictions that will assist in introducing our genetics library to the marketplace.”

AgraFlora will retain the rights to the genetics library for its own uses within North America, with International Cannabis being granted exclusive rights elsewhere globally. For the transfer of the genetics library, International Cannabis will issue one million shares to AgraFlora.

The investment boosts the company’s ability to access valuable intellectual property in the cannabinoids market, as Biotii is actively pursuing genetically engineered microorganisms that express cannabinoid profiles identical to those found in nature, at a fraction of the cost of current cannabis production methods.

“ICC continues its pursuit of identifying and investing in leading cannabis technology companies. We are thoroughly impressed with the Biotii team, which consists of proven innovators from world-class institutions, whom we believe are en route to potentially disrupt a very large part of the cannabis value chain,” said International Cannabis CEO Eugene Beukman. “This investment enhances ICC’s ability to capture significant IP and market share in the fast-developing biosynthesis market for cannabinoids."

With technological advances in gene editing, in-silico protein modeling and semi-automated robotics, Biotii has the foundation to expedite its molecular biology research, allowing it to spearhead large-scale production with a wide portfolio of intellectual property.

Biotii’s evolving IP portfolio will consist of “synthetic cannabinoids, designer enzymes and GMO microorganisms,” said the company.

Scalable synthesizing process

Biotii’s scalable synthesizing process will enable the manufacture of lesser-known cannabis compounds, as well as tetrahydrocannabinol (THC) and cannabidiol (CBD) at materially lower costs when compared to conventional cultivation and extraction processes.

Traditional cultivation of cannabis plants for the purpose of extracting cannabidiolic acid (CBDA), THC and CBD is a time, labor and resource intensive endeavor that can result in depressed extraction yields of approximately 2.5%.

An alternative tool to produce cannabinoids is biosynthetic engineering, where single cell organisms are programmed to synthesize the enzymes for the metabolic pathway that generates cannabinoids from sugars. Biotii intends to leverage a unique system to mass manufacture large quantities of cannabinoids with a smaller environment footprint than other known methods.

By 2020, the Biotii team intends to establish processes to mass-produce CBD/THC in quantities of hundreds of metric tons per annum, which boast stable and consistent yields, pharmaceutical grade purities; and the lowest production costs in the space.

“Biotii looks forward to progressing our technology alongside ICC and their robust cannabis platform,” said Biotii CEO Dr John Harrold. “ICC has earned a reputation of being a thought leader in the space and we are excited by the possibilities of tapping into ICC’s unique expertise and resources as we look to disrupt the cannabis industry.”

Dr Harrold is an MIT instructor with expertise in end-to-end bio-lab management. He is also an entrepreneur with having started four start-ups, including two funded by the National Science Foundation.

Similarly, Biotii chief product officer Sisi Ni is an MIT trained materials scientist and engineer who was previously named as one of Forbes’ 30 under 30.

Biotii has formed key relationships with leading medical research institutions in both the US and China.

ICC International Cannabis Corp (CSE:WRLD.U) (OTCMKTS:WLDCF) shares jumped Friday after it applauded Wayland Group’s (CSE:WAYL) news that it is on the path to receive a cannabis production license in Germany. The German Federal Institute for Drugs and Medical Devices will allow Wayland, through its German joint venture Demecan GmbH, to begin domestic production of medical cannabis for German patients, subject to a review period.

ICC has a stake in Wayland’s progress in Germany as it is wrapping up its acquisition of 49.9% of Wayland’s international assets and license portfolio. 

Shares of ICC were up 5.8% at C$0.37 in Toronto and up 5.6% at US$0.37 in New York. Shares of Wayland Group were also up, up 5.3% at C$1.00 in Toronto, up 4.9% at US$0.74 in New York.

Other top gainers on Friday included Aurora Cannabis Inc (TSE:ACB) (NYSE:ACB) also with news that it has won public tender to produce medical cannabis in Germany.

Shares were up 2.2% at C$12.21 in Toronto.  

The Canadian cannabis company was one of the three companies selected in a public tender by the German Federal Institute for Drugs and Medical Devices to cultivate and distribute medical cannabis in Germany.

Also on the rise Friday was The Green Organic Dutchman Holdings Ltd (TSE:TGOD) (OTCMKTS:TGODF), which was up 4% at C$4.40 in Toronto. 

Last week, the company announced news that it had won a victory from city council in its hometown of Hamilton, Ontario, allowing the cannabis company to operate its cannabis greenhouse in Ancaster, Ontario.

Duds

Tilray Inc (NASDAQ:TLRY) shares had a tough Friday, down 2.7% at US$59.42. It's been a tough start to 2019 for the Nanaimo-based cannabis company, compared to many cannabis stocks, which have seen huge rallies so far in 2019. 

on the other hand, Tilray has continued to drop, and on Friday hit its lowest point since the beginning of the year. The stock is off around 80% from its all-time highs of $300/share, seen in September 2018. 

Shares of Liberty Health Sciences Inc (CSE:LHS) (OTCQX:LHSIF) also dropped on Friday, down 2.1% at C$0.94 in Toronto. On Friday, the company is opening its 13th Florida dispensary in Bonita Springs, as the company continues to expand throughout the state.

The Horizons Marijuana Life Sciences Index ETF was up 0.18% at C$22.64 on Monday. 

ICC to issue shares to ABG

ICC also announced that it will issue US$2 million of common shares as part of a previously announced licensing agreement with Authentic Brands Group (ABG). 

The company also announced it would issue common shares of ICC with a value of US$15 million to Cannabis Lifestyle Partners (CLP). 

International Cannabis also clarified that it has the option to extend its initial 10-year agreement with ABG for an additional 40-year term.

Both International Cannabis and Wayland are nearing the conclusion of their strategic reviews and expect to enter into a definitive agreement for the transfer of the assets.

“The companies have been diligently working toward a definitive agreement. The transaction would further solidify ICC as a global cannabis leader, with exposure to a broad range of jurisdictions and consumers,” said Eugene Beukman, CEO of ICC International Cannabis in a statement.

The International subsidiary will be staffed by key management and operations personnel from Wayland, ICC said in a statement. Wayland will retain control, keeping a 50.1% stake in the subsidiary.

The two companies expect the deal will drive revenues higher as they look to take advantage of economies of scale to improve production, distribution and branding campaigns and enter new cannabis and CBD markets.

Once the deal is completed, ICC International Cannabis and Wayland will jointly hold distribution or supply agreements with over 39,000 pharmacies and retailers as well as 820,000 square feet of clean-room cultivation space.

The partners will also boast over 275 metric tonnes of extraction-ready hemp inventories, which will bring access to superior cannabidiol (CBD) concentrates.

The subsidiary will also benefit from 16 licenses, spanning 12 countries and four continents.

Intercannex added to Helix POS system

In other news, ICC also announced that the International Cannabis Exchange (Intercannex), its global distribution management system, would be integrated into cannabis technology and security provider Helix TCS’s point-of-sale (POS) system BioTrackTHC.

The new platform will rely on the abilities of Intercannex, a secure electronic cannabis market, to boost pricing and regulatory reporting and cut costs.

“Intercannex/BioTrackTHC affords us a secure, centralized platform to manage and effectively scale our global cannabis cultivation, production and end-distribution capabilities,” added Beukman in a statement.

BioTrackTHC is a leading POS platform and has processed US$18 billion in cannabis sales since it was started.

As ICC International Cannabis advances towards production, the Vancouver company will use the combined capabilities of Intercannex and BioTrackTHC to facilitate real-time transactions of wholesale cannabis products between licensed operators in regulated markets. Each warrant entitles its holder to purchase one additional share of ICC International Cannabis at a price of US$0.50 for a period of two years from the closing date.

Convertible debentures were also issued at a deemed value of US$0.38, which was the market price on March 6, 2019. The debentures bear interest at a rate of 10% per year from the date of issue, payable semi-annually in arrears on June 30 and December 31 of each year, beginning on June 30, 2019.

In an update to investors Friday, the company talked up its medical cannabis and cannabidiol (CBD) portfolio.

Over the past three quarters, the Vancouver company has embarked on an aggressive acquisition strategy, which includes an agreement to acquire 49.9% of Wayland Group Corp’s international assets and license portfolio.

“International Cannabis is uniquely positioned to capture significant market share as the European THC and CBD industries continue to mature,” said Eugene Beukman, CEO and a director of International Cannabis. “We have tactically secured cornerstone assets in Denmark and Germany – jurisdictions armed with broad insurance coverage, affording the company the ability to realize substantially higher margins, while insulating our operations from margin compression.”

Upon the closing of the Wayland deal, ICC will boast an array of new operations, partnerships, licenses and assets.

On the list of what it will acquire are a German medical cannabis import license as well as a Danish medical THC cultivation and manufacturing facility. It will also gain an 820,000 square foot production facility in Ebersbach, which is just outside of Dresden, Germany.

The Wayland partnership will help to widen ICC’s business across continental Europe as it will also provide a Polish hemp processing and extraction license; a Portuguese hemp cultivation and processing license; a Maltese license to manufacture medical cannabis; a  license in Bulgaria for the production, manufacturing and export of hemp and medical cannabis; and a 60,000 square foot Swiss cannabis cultivation facility.

The company is moving into Africa too, with the gaining of licenses for medical cannabis cultivation, manufacturing, distribution and import/export in the Kingdom of Lesotho. It is also picking up supply agreements to provide cannabis products to over 2,800 independent and corporate pharmacies across South Africa.

Colombia is in its sights as well, as ICC is securing licenses for THC/CBD production, extraction and export in the country.

Lastly, the company is looking to acquire medical cannabis licenses in the UK, Australia and Argentina.

ICC International Cannabis shares closed up 2.8% to hit C$0.36 on Thursday.

The country's good manufacturing practice and good distribution practice certifications apply to a 50,000 square foot area of Wayland’s Ebersbach cultivation facility, which is located just outside of Dresden, Germany.

The new certifications will allow for the streamlining of production processes for the cannabis company and also permit the bulk warehousing of medical cannabis on German soil, allowing for direct sale into the German market, according to ICC.

The market for medical cannabis in Germany is burgeoning, with more than 79,000 German patients now taking the drug, according to ICC.

Just last month, ICC International Cannabis struck a letter of intent to acquire 49.9% of Wayland’s international assets and license portfolio. A definitive agreement sealing the move is expected on or before March 1.

After the deal closes, ICC will have considerable input about the direction of Wayland's German operations.

“International Cannabis applauds the Ebersbach facility’s receipt of the prestigious good manufacturing practice and good distribution practice certifications,” said Eugene Beukman, CEO of International Cannabis, in a statement.

“EU-GMP certifications mark the highest standards of pharmaceutical production in the world. Receipt of EU-GMP certifications by the Ebersbach facility will streamline production processes, resulting in shorter lead times and higher margins,” he added.

The Ebersbach facility is equipped with 820,000 square feet of clean-room cultivation space. Production of CBD isolate from the Ebersbach facility amounted to 2,400 kg in 2018.

 The company expects Ebersbach will eventually apply for a German indoor medical THC cultivation license and will control an outdoor CBD cultivation operation as well.

Wayland shares slipped 4.7% to C$1.22 in afternoon trade on Friday while ICC International Cannabis shares held steady at C$0.345.

The company highlighted that it now boasts of local presence in 13 European countries via licensing or off-take agreements. It also now has supplies on hand of products ready for sale starting in Q2 2019 and an experienced operational team.

"This grants the company additional ability to post significant operating numbers in 2019 and secure its first-mover advantage in what is probably the world’s largest and most important unified market for CBD products," the company said Friday

"By combining a material stockpile of already processed hemp with a steady pipeline of organic hemp available for harvest, ICC is fully equipped to execute upon its 2019 and 2020 purchase order obligations."

Hundreds of millions of dollars

Organic CBD (cannabidiol) isolate is currently trading within the European Union at €12,000 equivalent per kilogram, which will translate to hundreds of millions of dollars of realizable revenues to ICC, the firm noted.

"By further formulating and branding into a market starved for product, the company could geometrically multiply this figure," it added.

The 155 metric tonnes of processed, extraction-ready hemp will be transported to Eviana’s existing Serbian facilities for immediate extraction in the coming days.

For the Future Hemp agreement, the harvest of 400 tonnes of certified organic hemp is expected to take place in September this year. Then the product will be sorted, processed and then transported for end extraction and distribution.

Shares eased 2.56% to $0.38.

The cannabis company recently announced the acquisition of Macedonian medical cannabis cultivation and extraction licenses, as well as Bulgarian medical cannabis and hemp cultivation licenses.

Alkaloid, based in Skopje, Macedonia, has a workforce of more than 1,800 employees and maintains a network of 16 subsidiaries in the US, Russia, Switzerland, Croatia, Slovenia, Bulgaria and Turkey.

The Macedonian company owns and operates a consortium of pharmaceutical and cosmetics manufacturing plants, including Good Manufacturing Practice-certified facilities. It reported revenue of more than C$171 million (US$121 million), according to its 2017 audited financial statements.

“International Cannabis’ stake in Alkaloid affords the company a dominant regional partner with over eight decades of pharmaceutical manufacturing experience,” Eugene Beukman, CEO of ICC, said in a statement.

Shares of ICC slipped US$0.04 to US$0.36 in Thursday’s Canadian trading. They were down US$0.02 to US$0.37 on the OTC Markets.

"This initial operational integration will signal to the marketplace that International Cannabis is positioned to operate world-class cannabis production facilities and distribution networks."

Last week, the company said that it would complete a purchase agreement on or before March 1, 2019, to acquire 49.9% of Wayland Group Corp's international assets and licence portfolio.

It adds cannabis operations in a variety of high-profile jurisdictions while increasing exposure to high-growth marketplaces including Germany and the Asia Pacific theatre, ICC had said.

Wayland's 125,000kg supply of CBD flowers for extraction will be processed in International Cannabis's Polannabis operations and finished into the distillate.

Finished dose products 

Using Wayland's patented Vesisorb formulations, ICC's European distribution partner said Cosmos Holdings will then manufacture finished dose CBD products, including oral tablets in its EU-GMP-certified (European Union good manufacturing practices) facilities in Greece.

Wayland's patented Vesisorb formulations have been demonstrated to increase absorption of fat-soluble drugs by up to seven times, compared with those without.

ICC International Cannabis also revealed in Monday's press release that Wayland had completed site visits for its Greece and Colombia assets, with operations exceeding expectations.

Additional site visits to all other operations will be completed within the next two weeks.

ICC has formally begun the executive recruitment process for a seasoned capital markets chairman and CEO and expects to begin initial discussions with qualified candidates in the coming weeks.

When the purchase is complete, Wayland's international assets and licences will be held in a subsidiary which will be owned by Wayland and International Cannabis.

Shares in Toronto added 1.25% to $0.405.

After completing the transaction, International Cannabis will acquire a 49.9% interest in several new operations, partnerships, assets and licences in Germany, Switzerland, United Kingdom, Italy, Malta, Colombia, Argentina, and Australia.

Exposure to sevreral foreign markets

After the deal, the company will have an interest in a German cannabis import license, an indoor medical cannabis cultivation license application, and an 820,000 square feet facility with a 50,000 square feet certified packaging and distribution center. Annual production is estimated to hover around 2,400 kilograms of CBD isolate, 165 hectares of CBD cultivation operations, as well as a three-year agreement to supply medical cannabis to 2,200 pharmacies.

Similarly, a Swiss cannabis cultivation operation which includes a 60,000 square foot cultivation facility, a proprietary genetics portfolio available for export, a THC distillate import capabilities and material revenues from Haxxon AG operations.

It will also become a frontrunner for one of seven medical cannabis licences to be issued by the Italian government. It will also gain a Maltese license to manufacture finished-dose medical cannabis and be a leading candidate for a UK-based medical cannabis import license and an Australia late-stage medical Cannabis licence application. Hopes are also centered on scoring the first Argentinian Federal Medical Cannabis licence with approval expected in early 2019, and existing supply agreements for CBD products.

The company said that after the deal, International Cannabis and Wayland will jointly hold distribution and supply agreements with over 39,000 corporate and independent pharmacies and have at least 16 licences, spanning 12 countries and four continents.

Shares of ICC climbed US$0.07, or 18%, to US$0.40 in Thursday's Canadian trading. Last month, the company’s common shares on the Canadian Securities Exchange began trading in the US currency.

ICC said the revised export regulations enhance the value of its Danish medical license.

Cosmofarm is equipped with an extensive supplier network of 250 pharmaceutical manufacturers and had sales of nearly US$14 million for fiscal year 2017. It provides products to more than 1,300 pharmacies.

Cosmofarm is in the process of relocating its operations to a new 32,000-square-foot facility, greatly increasing its manufacturing capacities, according to ICC. The facility’s manufacturing operations include a robotic fulfillment center and will significantly improve Cosmofarm’s scaling and distribution capabilities.

Vancouver-based ICC will market and sell its cannabis and cannabidiol products throughout the 28 member states of the EU. 

Licenses permit the company to cultivate, manufacture, distribute and export industrial hemp and its many CBD-derived extracts. Greece boasts more than 300 days of sunshine per year, providing an attractive climate for outdoor industrial hemp cultivation, according to ICC.

Cosmos has a trans-European network of more than 160 clients and vendors.

ICC, through its subsidiaries, has agreements in place for European-based pharmaceutical distribution, wholesale importation, and research and development.

The company has licenses to cultivate, produce, distribute, store and export cannabis, cannabis derivatives and industrial hemp in Colombia, Denmark, Poland, Greece, Portugal, Poland, Macedonia, Bulgaria, South Africa and Lesotho.

Through a Macedonia subsidiary, Balkan Cannabis has been granted an exclusive agreement with a licensed facility permitting the cultivation, manufacturing and export of medical cannabis, according to ICC. The facility is located on 30 hectares (75 acres) in Valandovo, Macedonia.

The Balkan Cannabis subsidiary holds the only Macedonia extraction license to date and is building the country’s first dedicated industrial extraction facility, ICC said.

Balkan Cannabis owns 67% of the Macedonia subsidiary, with the rest controlled by a regional partner.

ICC added that Balkan Cannabis holds a 50% interest in a Bulgarian subsidiary that holds licenses for the production, manufacturing and export of hemp and medical Cannabis. Through the subsidiary, Balkan Cannabis controls 15,000 hectares (37,000 acres) with a two-year option to buy an additional 15,000 hectares.

Medical cannabis growth

In 2017, the global medical cannabis industry was valued at US$15.6 billion and is expected to expand at a compound annual growth rate of 17.7%, according to ICC, citing data from San Francisco-based Grand View Research

ICC advanced its global aspirations Thursday when it announced that it had entered a joint venture with Colombia-based Estrella Verde SAS, giving it access to more than 300 genetic cannabis strains.

ICC will use the strains to cultivate mother plants, generate clones and build out its nursery. The company now has access to more than 430 laboratory-tested cannabis strains.

Separately, ICC said Thursday that it passed characterization protocols for its first 10 cannabis strains and plans to present results to the International Cannabis Association in 2019. ICC expects to receive its final production quotas from the association in the first half of the new year. ICC has begun working toward planting its inaugural test crop.

In addition, ICC has completed its rebranding related to its Portuguese hemp and cannabidiol operations. Enigma Unipessoal Lda, a wholly owned subsidiary, holds a Portuguese hemp cultivation and processing license that allows imports and exports of hemp-derived products.

This license authorizes ICC to cultivate hemp on 400 acres in Portugal’s Castelo Branco region. ICC’s Portuguese hemp operations are estimated to yield 45,000 kilograms of finished, extracted, pure cannabidiol isolate product each year.

Enigma harvested and extracted its first hemp crop in 2015.

Shares of ICC slipped C$0.01 to C$0.42 in Wednesday’s Canadian trading. They were down US$0.01 to US$0.31 on the OTC Markets.

Stage A of the company’s Danish medical cannabis facility will include a 49,600 square foot cultivation unit, an administrative area as well as a production and processing structure.

Israeli cannabis cultivation company hired

International Cannabis has hired an Israeli cannabis organic cultivation and management company Sababa Sciences to help with the build-out of its Danish medical cannabis cultivation facility.

On top of this move, the company has also engaged the leading greenhouse engineering and manufacturing firm Azrom to assist with facility engineering planning.  Under Sababa’s guidance, Azrom will provide end-to-end planning and consulting services throughout the build out of the Danish medical cannabis cultivation facility.

“International Cannabis continues to make material progress towards a world-class cultivation facility in Denmark,” said Eugene Beukman, CEO of International Cannabis in a statement. “Through its partnerships with Sababa and Azrom, the Company is working with world-renowned experts in greenhouse engineering, manufacturing and construction.”

International Cannabis expects its greenhouse engineering planning work will be completed by December 31. Once finalized, delivery of the greenhouse structure and the required growing systems is set to take place by the end of the first quarter of 2019.

The company is also in the process of applying for building permits and its architects and engineers are now finalizing the project plan for the cultivation facilities.

International Cannabis’s land development campaign for its Danish project include the completion of a mandatory museum/archaeological survey, removal of trees, shrubs and bushes and installation of temporary housing to serve as a command and control center for construction and engineering staff.

The company has also finalized the design of its European GMP compliant manufacturing facility. Construction of the facility will kick off during the second quarter of 2019 and it is expected that it will see GMP validation before the end of next year.

At the same time as its construction and manufacturing efforts are advancing, International Cannabis is still bolstering its genetic and strain catalogue of cannabis via the purchase of 10 varieties of seeds from several different suppliers. The company has established a genetics room that will be monitored by Sababa’s agronomy team.

The company now has access to 130 laboratory-tested craft cannabis strains. The finished cannabis and cannabis derivatives it produces will eventually be sold through Denmark’s retail pharmacy network.

Denmark has developed a program for reimbursement for cannabis therapeutics through its national health care program. Patients can be reimbursed for their cannabis medicine in the same manner as all other prescriptions.

ICC International Cannabis has licences to cultivate, produce and export cannabis, cannabis derivatives and industrial hemp in Colombia, Denmark, Poland, Greece, Portugal, South Africa and the Kingdom of Lesotho.

ICC International Cannabis shares nudged up 11.7% to hit C$0.43 on Tuesday.
