The Appendix 3B lodged 12 May 2020 relates to an off-market takeover bid by 88 Energy Ltd for all of the ordinary shares and listed options in XCD Energy pursuant to the bidder's statement dated 11 May 2020 as supplemented and replaced from time to time (Bidder's Statement, Offers).

As noted in the Appendix 3B, the Company may issue up to approximately 1,848,002,205 shares pursuant to the Offers. The exact number of shares to be issued depends on the level of acceptances received under the Offers.

In addition, the Company has agreed to issue up to 25,400,000 shares to Longreach Capital Pty Ltd. Further details are set out in the Appendix 3B lodged on 12 May 2020.
