Issue of equity and change to total voting rights 


Rose Petroleum plc (AIM: ROSE), a Rocky Mountain-focused oil and gas company, announces the issue of 1,235,545 new ordinary shares in the Company to a former employee of the Company ("New Shares")  in full and final settlement of employment contract liabilities.


Application will be made for the New Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on or around 9 December 2019. 


The New Shares will rank pari passu in all respects with the existing ordinary shares of the Company in issue and therefore will rank equally for all dividends or other distributions declared, made or paid after the issue of the New Shares.  The New Shares will represent approximately 0.43% per cent of the issued share capital of the Company on Admission.


In accordance with AIM Rule 17, the Company announces that the beneficial interest of Origin Creek Energy LLC ("OCE") in the Company will remain unchanged at 68,636,364 Ordinary Shares but due to dilution caused by the New Shares, upon Admission will represent 23.9 per cent. of the Company's then issued share capital. The shareholders and directors of OCE are Rick Grant, the Chairman of Rose, and Colin Harrington, the CEO of Rose. Colin Harrington is indirectly the controlling shareholder of OCE.


Total voting rights


Upon Admission, the Company's issued share capital will consist of 287,111,606 ordinary shares of 0.1p each, with one voting right each. The Company does not hold any ordinary shares in treasury. Therefore, the total number of ordinary shares and voting rights in the Company will be 287,111,606.  With effect from Admission, this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
