IonQ to acquire SkyWater Technology in $1.8B deal

Quantum computing company IonQ (NYSE:IONQ) announced Monday that it has entered into a definitive agreement to acquire SkyWater Technology (NASDAQ:SKYT), a US-based semiconductor foundry, in a cash-and-stock transaction valued at about $1.8 billion.

Under the terms of the deal, SkyWater shareholders will receive $35 per share, subject to a collar.

IonQ said the acquisition would allow it to integrate semiconductor manufacturing into its operations, supporting the development of its next-generation quantum processors and advancing its fault-tolerant computing roadmap.

The company also noted that the move would strengthen its position as a technology partner for the US government and allied nations by providing access to a trusted domestic foundry.

As part of its development timeline, IonQ said it expects functional testing to begin in 2028 for a 200,000-qubit quantum processing unit (QPU) that would enable approximately 8,000 high-fidelity logical qubits. The company added that the acquisition could accelerate the timeline for a 2 million-qubit chip by up to a year.

IonQ also said the transaction would support secure end-to-end design across its broader quantum platform, including quantum networking, security, and sensing technologies.

“This transformational acquisition enables IonQ to materially accelerate its quantum computing roadmap and secure its fully scalable supply chain domestically,” IonQ CEO Niccolo de Masi said in a statement.

“With secure, US-based design, packaging and chip fabrication – IonQ will benefit from vertical integration across our increasingly interlinked quantum computing, quantum networking, quantum security, and quantum sensing applications for land, sea, air, and space.”

Shares of SkyWater added 5.5% at $33 on the announcement, while IonQ was up 2.2% at $46.
