Board Appointments

Technology Minerals Plc (LSE: TM1), the UK-listed company focused on building national resource and manufacturing resilience, is pleased to announce the following Board appointments took effect on 20 July 2026:

Appointment of Michel (Mick) Cataldo as Executive Director - Head of Resilience and Defence

Michel Cataldo (known as Mick Cataldo), who has served as a Non-Executive Director of the Company, has been appointed as an Executive Director with the title Head of Resilience and Defence.

Mr Cataldo served for 24 years in the British Army, including senior operational and planning roles within specialist National Mission Units, and continues to serve as an Officer in the UK Reserves. He has transitioned into the private sector, founding and scaling ventures at the intersection of defence, national security, and innovation. In particular specialising in developing sovereign capability ecosystems, aligning public and private investment to accelerate critical technologies and national resilience.  Mick specialises in translating frontline operational insight into strategic delivery, enabling organisations to build sovereign capability, resilience and mission-ready outcomes. His appointment as an Executive Director reflects the increasing importance of the defence and national resilience dimensions of the Company's Mantle strategy. In his new role he will lead the Company's efforts to identify, develop and execute opportunities aligned with UK and allied defence and critical-resource resilience requirements, working closely with the Chief Operating Officer.

The Board believes that moving Mr Cataldo into an executive capacity will strengthen the Company's ability to translate its strategic positioning in critical minerals, battery recycling and advanced manufacturing into concrete commercial and partnership opportunities in the resilience and defence domains.

Appointment of Callum Sommerton as Non-Executive Director

Callum Sommerton has been appointed as a Non-Executive Director of the Company, effective 20 July 2026. The appointment is made pursuant to the Relationship Agreement entered into between the Company and Jonathan Swann in connection with the recent restructuring and placing, under which Mr Swann has the right to nominate a Non-Executive Director for so long as he holds more than 15% of the issued share capital of the Company.

Mr Sommerton began his career in the Intellectual Property team at Mishcon de Reya LLP before moving into public markets, where he is one of the youngest CEOs to have led a Main Market London Stock Exchange-listed company. He has extensive experience in resolving complex regulatory situations and building new business lines within existing listed groups, with a focus on embedding governance discipline alongside growth.

As Chief Executive Officer of Chill Brands Group Plc, Mr Sommerton took over the leadership of the business at a point of significant operational and regulatory challenge, and led its stabilisation and rebuild - restoring governance and controls and refocusing the group around the recovery, protection and commercialisation of its key assets. Under his leadership the business took products from concept to national listings with major UK retailers and executed a strategic pivot into new markets.

Chill's operations in the consumer goods sector give Mr Sommerton direct insight into battery component supply chains, and the regulatory framework applicable to batteries used in vaping and other FMCG products - areas of relevance to the Company's battery recycling operations and wider critical minerals strategy.

The Board looks forward to working with Mr Sommerton to help the Company deliver its vision as the Company executes the Mantle strategy.

Regulatory Disclosures

The appointments took effect on 20 July 2026, following Admission as contemplated in the Prospectus published on 17 July 2026. Further details regarding the appointees, including their biographies, current and former directorships and interests in the Company's securities, are set out in the Prospectus. The Company confirms that, other than as set out in this announcement and in the Prospectus published on 17 July 2026, there is no further information concerning the appointments of Callum Sommerton and Michel Cataldo which the Company considers material to shareholders.

Jonathan Swann's right to nominate a Non-Executive Director arises under the Relationship Agreement entered into in connection with the Amended Swann Settlement Deed and the recent placing, as further described in the Prospectus.
