Digi Power X shares jump on debt settlement with NANO Nuclear, AI infrastructure progress

Shares of Digi Power X Inc (NASDAQ:DGXX, TSX-V:DGX) surged 14.6% on Thursday after the energy infrastructure company announced a debt settlement agreement with NANO Nuclear Energy.
Under the agreement, Digi Power X will issue 109,677 subordinate voting shares at a deemed price of C$3.10 per share to NANO Nuclear in exchange for settling $250,000 in liabilities tied to consulting services.
The agreement stems from a Memorandum of Understanding signed by the companies in December 2024 and remains subject to regulatory approvals, including from the TSX Venture Exchange.
Digi Power X said the move will help preserve cash and support the continued build-out of its AI and energy infrastructure initiatives.
The company also reiterated that its strategic consultation with NANO Nuclear on the potential deployment of small modular reactor (SMR) technology at Digi Power X’s data center sites is ongoing. The study aims to assess the feasibility of using SMRs to provide a stable and carbon-free energy source for high-density computing operations.
The settlement and ongoing collaboration with NANO Nuclear come as Digi Power X accelerates its broader growth strategy, fueled by rising Bitcoin production, expanding energy capacity, and new AI infrastructure deployments.
In an operational update earlier this week, Digi Power X reported Bitcoin production of approximately 94 BTC in the second quarter, valued at about $10.1 million based on end-of-June prices. Combined with energy sales, total Q2 revenue reached roughly $12.4 million.
The company said it held $13.5 million in cash and crypto assets as of June 30, up 45% from the previous month and nearly 90% year-over-year. Capital expenditures year-to-date totaled about $3.5 million.
A highlight of the quarter was the launch of Digi Power X’s partnership with Super Micro Computer Inc. (Nasdaq: SMCI) to develop AI data center systems powered by NVIDIA’s B200 GPUs. The company is preparing to deploy its first high-performance compute cluster at its Alabama facility using Super Micro’s liquid-cooled server infrastructure.
The installation will serve as a live demonstration of Digi Power X’s new ARMS (AI-Ready Modular Solution) platform, aimed at supporting dense AI and high-performance computing workloads.
Digi Power X currently operates 100MW of power capacity across three sites and is working to double that to 200MW through internal growth and targeted acquisitions.
