M2i Global to merge with Volato, expanding industrial focus

M2i Global (OTC:MTWO), a developer of global critical minerals infrastructure, will merge with aviation technology firm Volato Group Inc. (NYSE American:SOAR) in a deal that will give M2i access to a NYSE American listing and expand Volato into the fast-growing minerals supply chain sector.
Under the definitive agreement, Volato will acquire all outstanding shares of M2i Global in a stock-based transaction.
Upon closing, M2i shareholders will own approximately 85% of the combined company, while Volato shareholders will retain around 15%.
The merger is structured as a reverse triangular transaction, with M2i Global becoming a wholly owned subsidiary of Volato.
“This transaction is a transformative step forward for M2i Global,” said Major General (Ret.) Alberto Rosende, who will become CEO of the combined company.
“We’ve built a powerful ecosystem of over 40 partners across industry and government to advance US access to critical minerals—an issue now at the forefront of national strategy.
“Combining with Volato positions M2i Global to capitalize on this moment—with public market access, seasoned leadership, and the infrastructure to move fast and deliver value.”
The combined company will operate as a dual-platform enterprise: M2i Global will lead efforts in critical minerals infrastructure, while Volato will continue to develop aviation software, charter services, and travel platforms such as Vaunt and Mission Control.
Volato CEO Matt Liotta will become president of the combined company’s aviation and software business lines and will join the board of directors. CFO Mark Heinen and COO Michael Prachar will remain in their current roles.
M2i’s portfolio includes an offtake agreement with NT Minerals Limited for 88,000 tonnes of copper—valued at about $850 million at current prices—and partnerships aimed at battery metal recycling and lithium cathode production outside of China.
“This combination brings Volato’s capabilities to a new platform with significant upside,” said Liotta. “We’re confident in our ability to help accelerate growth and deliver value in the public markets.”
Volato reported Q1 2025 revenue of $25.5 million and net income of $0.5 million. It expects Q2 revenue to match that level, with projected net income between $3 million and $4 million. The company anticipates full-year profitability.
