GoviEx Uranium Inc (TSX-V:GXU, OTCQB:GVXXF) announced that it has filed the management information circular and related materials for its upcoming special meeting where securityholders will be asked to approve the previously announced plan of arrangement under which Tombador Iron Limited will acquire all of the issued and outstanding GoviEx shares.

The meeting is scheduled for October 24, 2025, and the materials have been posted under GoviEx’s profile on SEDAR+ with delivery to securityholders underway.

The Supreme Court of British Columbia has granted an interim order authorizing the calling and holding of the meeting. A copy of the order is included in the circular.

Approval of the arrangement requires at least 66⅔% of the votes cast by GoviEx shareholders, and at least 66⅔% of the votes cast by all securityholders voting together as a class.

Securityholders holding more than 40% of GoviEx securities have signed voting support agreements in favour of the transaction.

GoviEx’s board of directors has unanimously recommended that securityholders vote in favour of the arrangement resolution.

The application for a final order from the Supreme Court of British Columbia is currently expected to take place on October 29, 2025. Subject to court approval, required approvals from securityholders and shareholders, final exchange approvals, completion of the Tombador capital raising, and other customary conditions, the arrangement is expected to close in November 2025.

Following completion, GoviEx will become a wholly owned subsidiary of Tombador, and its shares are expected to be delisted from the TSX Venture Exchange and the OTCQB.

Former GoviEx shareholders will receive ordinary shares of Tombador, which are listed on the Australian Securities Exchange.

Tombador has also stated that it intends to pursue an OTC listing in the United States after the transaction is completed.
