Highland Critical Minerals and Highland Red Lake Gold complete plan of arrangement

Highland Critical Minerals Corp (CSE:HLND) and Highland Red Lake Gold have announced the completion of a previously announced Plan of Arrangement, under which Highland distributed a portion of its holdings in Highland Red Lake to its securityholders.
Under the arrangement, each holder of Highland’s pre-arrangement common shares received 0.5 Highland Red Lake Share and 0.5 Highland Red Lake Warrant for each share held.
Following the completion, Highland now holds 4,885,416 Highland Red Lake Shares, while securityholders of Highland collectively received 15,635,416 Highland Red Lake Shares and an equal number of warrants.
The pre-arrangement common shares of Highland were exchanged for new Class A Common Shares, and the pre-arrangement shares were subsequently cancelled.
The transaction effectively reduced Highland’s ownership in Highland Red Lake from approximately 73% to 17% on an undiluted basis.
Exploration updates
Highland Red Lake also told investors that it is conducting an exploration program on its mineral claims in the Red Lake gold district of Northern Ontario, including prospecting, LIDAR, and magnetic imaging.
The results from the initial survey phase are being reviewed with geological consultants to determine areas for further exploration, with an update expected in the coming weeks.
Highland is evaluating future exploration activities at its Church Property in the Quetico District of Ontario, with a formal decision anticipated in the spring of 2026.
Preparations are also underway for the next phase of exploration at the Sy Property in the Yathkyed Lake Greenstone Belt in Nunavut, with contracts for local staff and contractors being finalized, the company said. Planned exploration activities will be announced once arrangements are confirmed.
